Acceptance of terms

Please carefully read the terms and conditions (“Agreement”, “Terms of Service” or “ Terms of Use“) before using Mapinion. By registering for and using Mapinion (at http://www.mapinion.com; the “Site”), you agree to the Terms of Service. The Terms of Service constitutes a legal agreement between yourself and Mapinion. Do not use this Site if you are unwilling or unable to be bound by these terms.

Modification of terms

We are continually modifying and developing new features and functionality of the website. You understand and agree that Mapinion reserves the right to modify, update, or discontinue the Site at our sole discretion, at any time, for any or no reason, and without notice or liability. Any changes to the Agreement will be posted on this page along with the date of last revision. It is your responsibility to check back with this Agreement periodically for changes. Your continued use of the website despite changes made to the Terms of Use indicates your acceptance of the modification.

Use of our Site

As a condition of your use of this website, you warrant that (i) all information supplied by you on the Site is true, accurate, current and complete, (ii) if you have a Mapinion account, you will protect your account information and will be completely responsible for any use of your account by anyone other than yourself and (iii) you are 13 years of age or older in order to register for an account and contribute to our website. Mapinion does not knowingly collect the information of anyone under the age of 13. We retain the right at our sole discretion to deny access to anyone to this website and the services that we offer, at any time and for any or no reason, including, but not limited to the violation of this Agreement.

In accessing or using the Site, you may be exposed to content that is offensive, indecent, inaccurate, objectionable, or otherwise inappropriate. Mapinion does not endorse such content, and cannot vouch for its accuracy. You therefore access and use the Site at your own risk.

You assume all risks arising in connection with seeking or creating a location on the service, or any other related activity. Always exercise common sense and caution. For instance, setting your home as a location advertises your address to the world, which might not be a good idea.

You are solely responsible for your interactions with other Mapinion users. We reserve the right, but have no obligation, to monitor disputes between you and other users. Mapinion shall have no liability for your interactions with other users, or for any user’s action or inaction.

Termination of account

Mapinion may terminate or suspend your access to all or any part of the service at any time, in whole or in part, at our sole discretion, for any or no reason, and without notice or liability of any kind. This may result in the forfeiture and loss of all information associated with your account. If you wish to deactivate your account, you may do so by following the instructions on the Site. All provisions of the Terms of Use, which by their nature should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Mapinion may include links to other websites, advertisers, or services that are not owned or controlled by Mapinion, or Splode, Inc. If you access a third party website from Mapinion, you do so at your own risk and you understand that this Agreement, and Mapinion’s privacy policy, do not apply to your use of third party sites.

Ownership

We own the Mapinion content, including but not limited to software, design, compilation, computer code, products, images, text, graphics, interactive features, illustrations, logos, patents, trademarks, service marks, copyrights, photographs, audio, and videos and will remain the exclusive property of Mapinion and its licensors. You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit or create derivative works from any materials or content accessible on the Site. Use of Mapinion’s content or materials on the service for any purpose not expressly permitted by this Agreement is strictly prohibited.

Feedback

Any feedback, comments, or suggestions you may provide regarding Mapinion is entirely voluntary and we will be free to use such feedback, comments or suggestions as we see fit and without any obligation to you. By sending us any ideas, suggestions, or feedback you agree that (i) your feedback does not contain the confidential or proprietary information of third parties, (ii) we are under no obligation of confidentiality, express or implied, with respect to the feedback, (iii) we may have something similar to the feedback already under consideration or in development, and (iv) you grant us an irrevocable, non-exclusive, royalty-free, perpetual, worldwide license to use, modify, publish, distribute and sublicense the Feedback.

Indemnity

You agree to defend and indemnify Mapinion and any of its affiliates, parents, subsidiaries, developers, any related companies, employees, agents, contractors, officers, directors, suppliers and representatives and hold them harmless from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of (i) your access to or use of this Site, (ii) your breach of the Terms and Services, or (iii) any infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity. Mapinion reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnificatin by you, in which event you will assist and cooperate with Mapinion in asserting any available defenses.

Responsibility of the user

You agree that you will not, and will not assist or enable others to:

• Use the Site to do anything unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, obscene, offensive, or profane;
• Use the Site in any way that you know is false, misleading, untruthful or inaccurate;
• Use the Site in a manner that infringes any patent, trademark, trade secret, copyright, right of publicity or other right of any other person or entity or violates any law or contractual duty;
• Use the Site in any manner that constitutes unauthorized or unsolicited advertising, junk or bulk e-mail ("spamming");
• Use the Site for promotional or commercial purposes, except as expressly allowed in writing by Mapinion;
• Use the Site to spread software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password or other information of Mapinion or any third party; or
• Impersonate any person or entity, including any employee or representative of Mapinion or Splode, Inc.

Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WITHOUT LIMITING THE FOREGOING, MAPINION, ITS PARTNERS AND LICENSORS DISCLAIM ANY WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE CONTENT IS ACCURATE, RELIABLE OR CORRECT; THAT THE SERVICE WILL MEET YOUR REQUIREMENTS; THAT THE SERVICE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION, UNINTERRUPTED OR SECURE; THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR THAT THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS DOWNLOADED AT YOUR OWN RISK AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM SUCH DOWNLOAD.

Limitation of liability

IN NO EVENT SHALL MAPINION, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SERVICE (I) FOR ANY LOST PROFITS, DATA LOSS, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), (II) FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE (REGARDLESS OF THE SOURCE OF ORIGINATION), OR (III) FOR ANY DIRECT DAMAGES.
